Terms of Sale

    1. Purpose

    These Terms of Sale govern the contractual relationship between Kazza (MERCOVA SAS) (hereinafter "the Provider") and any user subscribing to the Kazza service (hereinafter "the Customer").


    By subscribing, the Customer unreservedly accepts these Terms of Sale as well as the Terms of Service.

    3. Services Offered

    Kazza offers an intelligent voice assistant service for vacation rental hosts including:


  1. An automated voice assistant answering traveler calls 24/7
  2. A dedicated French phone number (+33) per property
  3. SMS notifications when calls are transferred
  4. Access to a call management dashboard and statistics
  5. Call recording and transcription (retained for 3 days)
  6. Call transfer to host when the assistant cannot respond

    4. Pricing

    Standard rate:

  8. €19 excl. VAT per property per month (monthly billing)
  9. €194 excl. VAT per property per year (annual billing, approximately 15% discount)

  10. Trial period:

  11. 14-day free trial for one property
  12. No commitment, cancel anytime
  13. Consumption budget limited to €10 during trial
  14. Automatic billing at end of trial unless cancelled beforehand

  15. Prices are shown in euros excluding VAT. French VAT at the current rate (currently 20%) will be added to the excl. VAT amount.


    Kazza reserves the right to modify prices with a minimum 30-day notice. New rates will apply at subscription renewal.

    5. Order Process

    Service subscription is completed online at https://kazza.fr following these steps:


    1. Creating a user account (email and password)

    2. Entering the first property

    3. Choosing the plan (monthly or annual) and number of properties

    4. Entering payment information via Stripe

    5. Validating the order


    The Customer receives an order confirmation email summarizing subscription terms. Access to the service is immediate after payment validation.

    6. Payment Terms

    Payment is made:


  16. By credit card (Visa, Mastercard, American Express)
  17. Through our secure payment provider Stripe

  18. Billing:

  19. Monthly: payment is automatically debited on each anniversary date
  20. Annual: payment is made once for the full year

  21. Invoices are:

  22. Automatically generated with each payment
  23. Available in the customer area (Settings > Subscription)
  24. Sent by email to the account address

  25. In case of payment failure, the Customer is informed by email and has 7 days to regularize before service suspension.

    7. Late Payment Penalties

    In accordance with Article L441-10 of the French Commercial Code, in case of late payment:


  26. Late payment penalties at 3 times the legal interest rate will apply
  27. A fixed indemnity of €40 for collection costs will be due

  28. These penalties are automatically due without prior formal notice.

    8. Right of Withdrawal

    In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for service contracts fully performed before the end of the withdrawal period and whose execution began with the consumer's prior express agreement.


    By activating the service (creating a property, activating the voice assistant), the Customer expressly agrees that service execution begins immediately and waives their right of withdrawal for the part of the service already performed.


    Trial period: The Customer may cancel during the 14-day trial period at no charge and without justification. Cancellation is done from the customer area or by email to [email protected].

    9. Duration and Renewal

    Monthly subscription:

  29. Initial duration of one month
  30. Automatic renewal by tacit renewal
  31. Cancellation possible at any time, effective at end of current month

  32. Annual subscription:

  33. Initial duration of one year
  34. Automatic renewal by tacit renewal
  35. Cancellation possible at any time, effective at end of current annual period
  36. No pro-rata refund for early cancellation

  37. The Customer will be informed of approaching renewal by email 30 days before the due date.

    10. Cancellation

    By the Customer:

    The Customer may cancel their subscription at any time from their customer area (Settings > Subscription > Manage Subscription).


    Cancellation takes effect:

  38. Immediately for trial period (no charges)
  39. At end of current paid period for subscriptions

  40. By the Provider:

    Kazza reserves the right to cancel the subscription in case of:

  41. Non-payment after reminder and regularization period
  42. Serious violation of Terms of Service
  43. Fraudulent or abusive use of the service
  44. Request from competent authorities

  45. In case of cancellation by the Provider due to Customer fault, no refund will be made.

    11. Usage Limits and Consumption

    Each subscription includes a monthly consumption budget:


  46. **Trial period:** Maximum budget of €10 consumption
  47. **Paid subscription:** Budget equal to 40% of monthly subscription amount (per property)

  48. Consumption includes voice processing, telephony, and SMS costs.


    In case of budget exceeded:

  49. Incoming calls are automatically transferred to the host
  50. Voice assistant service resumes on the 1st of the following month

  51. Consumption details are available in real-time in the dashboard.

    12. Service Availability

    Kazza commits to providing quality service with a 99.5% availability target on a monthly basis (excluding scheduled maintenance).


    Scheduled maintenance operations:

  52. Will be notified with a minimum 48-hour notice
  53. Will be planned preferably during off-peak hours

  54. In case of prolonged unavailability significantly impacting the service (more than 24 consecutive hours excluding force majeure), the Customer may request a free extension of their subscription.

    13. Warranties and Liability

    Kazza commits to providing professional quality service but does not guarantee:


  55. 100% service availability
  56. Complete absence of errors in assistant responses
  57. Quality of telephone communications (dependent on third-party operators)

  58. Kazza's liability is strictly limited to:

  59. Amounts paid by the Customer in the last 12 months
  60. Direct and foreseeable damages

  61. Kazza shall not be liable for:

  62. Incorrect information provided by the Customer to configure the assistant
  63. Decisions made by travelers based on information provided
  64. Indirect damages (loss of revenue, opportunities, data, image)
  65. Interruptions caused by third parties, force majeure, or fortuitous events
  66. 14. Data Protection

    Personal data processing is carried out in accordance with our Privacy Policy available at /privacy.


    Key points:

  67. Call recordings are retained for 3 days then automatically deleted
  68. Payment data is processed by Stripe (not stored by Kazza)
  69. The Customer may exercise their GDPR rights at any time via [email protected]
  70. 15. Intellectual Property

    The Kazza service, its technology, algorithms, interface, and brand are the exclusive property of Kazza (MERCOVA SAS).


    The subscription grants the Customer a personal, non-exclusive, and non-transferable right to use the service for the duration of the subscription.


    Any reproduction, extraction, or unauthorized use is prohibited.

    16. Dispute Mediation

    In case of dispute relating to these Terms of Sale, the Customer may use a consumer mediator free of charge:

    Before contacting the mediator, the Customer must have previously attempted to resolve the dispute directly with Kazza by written complaint.

    17. Applicable Law and Jurisdiction

    These Terms of Sale are governed by French law.


    In case of dispute:

  71. The parties will endeavor to find an amicable solution
  72. Failing that, the competent courts of Paris shall have sole jurisdiction

  73. For consumers, mandatory jurisdictional rules apply in accordance with the Consumer Code.

    18. Miscellaneous Provisions

    Entirety: These Terms of Sale, together with the Terms of Service and Privacy Policy, constitute the entire agreement between the parties.


    Partial nullity: If a clause is declared null, the other clauses remain in force.


    Tolerance: Failure to exercise a right does not constitute waiver of that right.


    Assignment: The Customer may not assign their subscription without prior written agreement from Kazza.
